Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and RAPID DEV GROUP INC., an Ontario (Canada) corporation doing business as Sitetra ("Sitetra," "we," "us," or "our"). These Terms govern your access to and use of the Sitetra platform, including all associated websites, applications, services, APIs, and tools.

These Terms apply to all categories of users:

  • Website Operators (Builders) who create, configure, and manage websites on the platform.
  • Developers with administrative cross-website access for development and support purposes.
  • End Users who visit, interact with, or transact on websites built on the platform.
  • Anonymous Visitors who browse public-facing pages on any Sitetra-hosted website.

By accessing or using the Sitetra platform, creating an account, or clicking "I agree" to these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the platform.

You must be at least 16 years of age to use the Sitetra platform. By using the platform, you represent and warrant that you are at least 16 years old.

The Sitetra platform operates on a prepaid credit-based billing model. Platform services, including email delivery, SMS messaging, AI content generation, domain registration, stock image licensing, and website hosting, are metered and billed in credits. See Section 5 for full details.

These Terms are drafted in English (Canada). In the event of any conflict between the English version and any translation, the English version shall prevail and be the controlling and legally binding version.

2. Definitions

  • "Platform" means the Sitetra multi-tenant software-as-a-service platform, including all features, tools, APIs, and services provided by Sitetra.
  • "Website" or "Tenant" means any website or tenant instance created and managed on the Platform, identified by its host domain and isolated by a unique website identifier.
  • "Platform Website" means the parent Sitetra installation from which Builder websites are created and managed.
  • "Credits" means the prepaid virtual currency used on the Platform, where 1,000 credits equal $1.00 USD. Credits are used to pay for platform services.
  • "Content" means any text, images, graphics, audio, video, data, files, or other materials uploaded, submitted, posted, or displayed on the Platform by Users.
  • "AI-Generated Content" means any content, including text, images, code, website structures, styles, or other materials produced by artificial intelligence services integrated into the Platform.
  • "AI Services" means, collectively, the artificial intelligence providers integrated into the Platform: Anthropic (Claude), OpenAI, Google (Gemini), and Ollama.
  • "Builder" or "Website Operator" means a User with elevated permissions who can create and manage websites under a parent website, configure services, manage templates, and operate multi-site deployments.
  • "Developer" means a User with administrative cross-website access privileges, subject to multi-factor authentication requirements, who can access and manage websites across the Platform.
  • "End User" means a visitor, customer, or user of a website operated on the Platform by a Builder or Website Operator.
  • "Stock Images" means licensed photographs and illustrations sourced from Shutterstock through the Platform's integrated image library.
  • "Domain Registration" means the process of registering an internet domain name through one of the Platform's supported registrars (EasyDNS or Cloudflare Registrar).
  • "KYC" or "Identity Verification" means Know Your Customer identity verification conducted through the Platform's IDenfy integration.
  • "CRM Data" means contact records, customer relationships, accounts, communication histories, and related business data managed within a website.
  • "POS" means Point of Sale, the in-person transaction processing functionality of the Platform.

3. Account Registration and Security

3.1 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. Providing false or misleading information may result in immediate termination of your account.

3.2 Registration Methods

You may register for an account using an email address and password, or by authenticating through a supported OAuth provider (Google, Microsoft, Facebook, or GitHub). When using OAuth, your use of that authentication method is subject to the terms and conditions of the respective provider. Sitetra is not responsible for issues arising from third-party authentication services.

3.3 Password and MFA Responsibility

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any multi-factor authentication (MFA) devices or codes. Developers with cross-website access are required to have MFA enabled. You agree to notify Sitetra immediately of any unauthorized access to or use of your account.

3.4 API Credentials

Website Operators who configure third-party service integrations (such as Stripe, Square, PayPal, Wise, Postmark, Mailgun, VoIP.ms, Shutterstock, EasyDNS, Cloudflare, or AI provider API keys) are solely responsible for safeguarding those credentials. Sitetra stores these credentials in encrypted per-website settings but is not liable for unauthorized access resulting from credential mismanagement by the Operator.

3.5 No Shared Accounts

Accounts are for individual use only. You may not share your account credentials with any other person. Each individual who accesses the Platform must have their own account. POS terminal users may use simplified PIN-based authentication but are still subject to these Terms. Sitetra reserves the right to terminate accounts that are shared among multiple users.

3.6 Authentication Logging

All authentication attempts are logged with IP address, user agent, and approximate geolocation for security purposes. You will be notified when a new device accesses your account. See our Privacy Policy for details on how this data is handled.

4. Multi-Tenant Platform

4.1 Architecture and Data Isolation

The Sitetra platform operates on a multi-tenant architecture where each website is a separate, isolated tenant. Data is logically separated using a unique website identifier. One website's data cannot be accessed by users of another website, except through authorized cross-website access roles.

4.2 Parent and Child Websites

Parent websites may create and manage child websites. Child websites may inherit certain configurations and credentials from their parent. Each website operates with its own users, content, products, and settings.

4.3 Builder and Developer Roles

Builders are granted scoped cross-website access to specific websites assigned to them through the platform's builder assignment system. Builders may create and manage child websites, configure templates and styles, and operate multi-site deployments on behalf of a parent organization. Developers have broader cross-website access for development and administrative purposes, subject to MFA requirements.

4.4 Separate Business Entities

Each website operated on the Platform is a separate business entity or project. The Platform provides infrastructure and tools. Sitetra is not a party to transactions, agreements, or disputes between Website Operators and their End Users, customers, or any third party.

4.5 Compliance Responsibility

Website Operators are responsible for ensuring that their websites, including all child websites and content created by their tenants, comply with these Terms, applicable laws, and all relevant regulations. Sitetra is not responsible for monitoring or enforcing compliance of individual tenant websites.

5. Credits, Billing, and Payments

5.1 Prepaid Credits

The Platform operates on a prepaid credit system. You must purchase credits before using billable services. Credits have no cash value, are non-transferable between accounts, and are not redeemable for cash. 1,000 credits equal $1.00 USD.

5.2 No Refunds

All credit purchases are final and non-refundable. Unused credits do not expire but will be forfeited upon account termination in accordance with Section 12.

5.3 Auto-Recharge

You may enable auto-recharge to automatically purchase additional credits when your balance falls below a configured threshold. By enabling auto-recharge, you authorize Sitetra to charge your designated payment method automatically. You may disable auto-recharge at any time through your account settings.

5.4 Negative Balance

Certain operations (such as email delivery, SMS sending, AI processing, and domain transactions) are executed on a fire-and-forget basis, meaning they may complete even if your credit balance becomes negative as a result. New billable operations will be blocked once your balance reaches zero or below. You are responsible for maintaining a sufficient credit balance.

5.5 Monthly Website Billing

Each active website on the Platform incurs a monthly hosting fee (currently 5,000 credits, equivalent to $5.00 USD) per billing cycle. Websites with managed domains incur an additional monthly domain management fee (currently 2,000 credits, equivalent to $2.00 USD). If your credit balance is insufficient to cover monthly billing, your website will enter a past-due state. See Section 12 for the complete billing failure timeline.

5.6 Payment Processors

Payments are processed through third-party payment processors, including Stripe, Square, PayPal, and Wise. Additional manual payment methods (wire transfer, e-Transfer, cash, check, cryptocurrency) may be available depending on your Operator's configuration. Your use of these payment services is subject to their respective terms and conditions. Sitetra does not store your full payment card details.

5.7 Pricing Changes

Sitetra reserves the right to change pricing, credit rates, and service fees at any time. We will provide at least 30 days' advance notice of any pricing changes via email or platform notification. Platform Operators may configure custom credit rates and markups for their networks. Your continued use of the Platform after the effective date of a pricing change constitutes acceptance of the new pricing.

5.8 Own Keys vs. Platform Keys

Website Operators who configure their own third-party API keys (for email, SMS, AI, or other services) may incur reduced or zero credit costs for those services. When using platform-provided keys, standard credit rates apply. See Section 6 for the complete rate schedule.

6. Service Usage Rates

The following table outlines current credit costs for Platform services when using platform-provided keys:

When Operators configure their own API keys for email, SMS, or AI services, the credit cost for those services is reduced to zero. AI markup percentages and domain markup percentages are configurable per platform.

Service usage rates are subject to change. Updated rates will be reflected in the Platform documentation and are effective upon posting. Sitetra will make reasonable efforts to notify Users of significant rate changes.

7. AI-Generated Content

7.1 Third-Party AI Providers

The Platform integrates with the following third-party AI services:

  • Anthropic (Claude) for text generation, translation, analysis, and content creation.
  • OpenAI (GPT) for text generation, translation, analysis, speech-to-text transcription (Whisper), and image analysis.
  • Google (Gemini) for text generation, translation, and analysis.
  • Ollama for self-hosted AI text generation (data processed on Sitetra infrastructure).

7.2 AI Capabilities

AI Services on the Platform include: content generation (web pages, blog posts, product descriptions, FAQs, articles, videos), content translation across 20 supported locales, SEO optimization, content enhancement and rewriting, AI-powered website building (including layout generation, theme selection, and style creation), stock image selection and licensing, speech-to-text transcription, logo and image analysis, and natural language data queries.

7.3 No Accuracy Guarantee

Sitetra makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of AI-Generated Content. AI-Generated Content may contain errors, inaccuracies, hallucinations, biases, or inappropriate material.

7.4 User Responsibility

You are solely responsible for reviewing, editing, and approving any AI-Generated Content before publishing or using it. You assume full responsibility for any AI-Generated Content that you choose to publish or distribute through the Platform.

7.5 No Uniqueness Guarantee

AI-Generated Content is not guaranteed to be unique. Similar or identical content may be generated for other users. Sitetra does not guarantee that AI-Generated Content will not infringe upon the intellectual property rights of any third party.

7.6 Ownership

Subject to the terms and conditions of the underlying AI providers, you retain ownership of AI-Generated Content that you create and publish through the Platform. You acknowledge that the AI providers may have their own terms regarding ownership and use of AI-generated outputs.

7.7 Rate Limits and Token Limits

AI processing is subject to rate limits (currently 20 requests per minute per authenticated user) and configurable token limits per request, per session, and per month. These limits may be adjusted at any time.

7.8 Data Sent to AI Providers

When using AI features, your prompts, business context (including voice/tone guidelines and business descriptions), existing content, and reference materials may be transmitted to the selected AI provider for processing. Please avoid submitting sensitive personal information in AI prompts. See our Privacy Policy for details.

8. User Content and Conduct

8.1 Ownership of Content

You retain all ownership rights in Content that you upload, submit, or display on the Platform. Sitetra does not claim ownership of your Content.

8.2 License to Sitetra

By uploading or submitting Content to the Platform, you grant Sitetra a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, cache, and transmit your Content solely for the purpose of operating and providing the Platform services. This license terminates when you delete your Content or your account, subject to reasonable backup and archival periods.

8.3 Prohibited Content and Conduct

You agree not to upload, submit, or transmit any Content or engage in any conduct that:

  • Contains malware, viruses, trojans, worms, or other harmful code.
  • Constitutes unsolicited bulk messaging (spam), phishing attempts, or email marketing without proper consent.
  • Is illegal, fraudulent, or violates any applicable law or regulation.
  • Infringes upon the intellectual property rights, privacy rights, or other rights of any third party.
  • Is defamatory, obscene, threatening, harassing, or promotes violence or discrimination.
  • Attempts to gain unauthorized access to the Platform, other tenants' data, other accounts, or related systems.
  • Interferes with or disrupts the Platform or its infrastructure.
  • Violates export control or sanctions laws.
  • Involves submitting fake reviews or manipulating review ratings.
  • Uses the newsletter or email marketing features to send unsolicited commercial messages without valid recipient consent.
  • Exceeds reasonable resource usage (storage, bandwidth, API calls) in a manner that degrades service for other users.
  • Attempts to circumvent credit balance checks, rate limits, or other platform safeguards.
  • Uses POS or payment systems for fraudulent transactions.
  • Engages in cryptocurrency mining, proxying, or other unauthorized computational activities on Platform infrastructure.

8.4 Security Scanning

Sitetra employs ClamAV and other security scanning tools to detect malware and malicious content in uploaded files. You acknowledge and consent to such scanning. Files identified as malicious may be quarantined or deleted without notice.

8.5 Rights to Uploads

You represent and warrant that you have all necessary rights, licenses, and permissions to upload and use all Content you submit to the Platform, including images, text, documents, and other materials.

9. Third-Party Services and Integrations

The Platform integrates with and relies upon various third-party services. You acknowledge and agree that these services are provided by independent third parties and are subject to their own terms, conditions, and privacy policies.

9.1 Payment Processors

Stripe, Square, PayPal, and Wise for payment processing, subscriptions, invoicing, and money transfers.

9.2 AI Providers

Anthropic (Claude), OpenAI (GPT and Whisper), Google (Gemini), and Ollama for AI text generation, content creation, translation, analysis, and speech-to-text.

9.3 Email Providers

Postmark and Mailgun for transactional and marketing email delivery, including bounce and delivery tracking.

9.4 SMS Provider

VoIP.ms for SMS messaging and telephony services.

9.5 Domain Registrars

EasyDNS and Cloudflare Registrar for domain name registration, renewal, and DNS management.

9.6 Stock Image Provider

Shutterstock for stock image search, licensing, and delivery.

9.7 Identity Verification

IDenfy for KYC (Know Your Customer), KYB (Know Your Business), AML (Anti-Money Laundering) screening, and document verification.

9.8 Infrastructure

Cloudflare for DNS management, CDN (Content Delivery Network), web application firewall, DDoS protection, and file storage (R2).

9.9 Authentication Providers

Google, Microsoft, Facebook, and GitHub for OAuth-based single sign-on authentication.

9.10 Analytics

Google Analytics for optional website traffic analysis (when enabled by the Website Operator).

9.11 Calendar Synchronization

CalDAV protocol support for synchronizing calendars with external calendar services.

9.12 Market Data

Third-party feeds for precious metals pricing (gold, silver, platinum, palladium) and commodity news.

9.13 MCP-Connected AI Tools

Sitetra provides an MCP (Model Context Protocol) server that allows third-party AI tools and applications to connect to your website on your behalf. When you connect an AI tool via MCP, that tool may read data from and take actions on your website according to your account permissions. You are responsible for the AI tools you connect and the actions they take.

9.14 No Responsibility for Third Parties

Sitetra is not responsible for any outages, disruptions, data practices, terms changes, pricing changes, service quality issues, or other problems arising from third-party services. Third-party services are provided "as is." Your use of Platform features that rely on third-party services is at your own risk.

10. Platform Neutrality

10.1 Tools, Not Endorsements

Sitetra provides tools and infrastructure for building and operating websites. The provision of these tools does not constitute an endorsement, approval, or recommendation of any Content, product, service, or transaction facilitated through websites built on the Platform.

10.2 Not a Party to Transactions

Sitetra is not a party to any transaction between Website Operators and their End Users or customers. This includes e-commerce transactions, reservations, bookings, subscriptions, and any other business conducted through Platform-hosted websites. No agency, partnership, joint venture, or employment relationship is created between Sitetra and any User or between Users.

10.3 No Verification or Guarantee

Sitetra does not verify, endorse, or guarantee any products, services, claims, or representations made by Website Operators or their End Users. Website Operators bear sole responsibility for their offerings, pricing, fulfillment, customer disputes, refunds, tax obligations, and compliance with all applicable laws and regulations.

10.4 Content Moderation

Sitetra reserves the right to remove Content or suspend websites that violate these Terms. However, Sitetra has no obligation to monitor, review, or moderate Content on the Platform.

11. Domain Registration and Management

11.1 Domain Registrars

Domain registration services are provided through EasyDNS and Cloudflare Registrar as intermediary registrars (configurable per platform). All domain registrations are subject to the respective registrar's terms and conditions, as well as applicable ICANN policies and regulations.

11.2 Domain Ownership

Domains registered through the Platform are registered in Sitetra's registrar account on behalf of the Builder. The Builder is considered the beneficial owner of the domain. Upon request, Sitetra will assist with transferring domain ownership to the Builder or a third party designated by the Builder, subject to applicable registrar policies and any outstanding balance.

11.3 Domain Pricing

Domain purchase and renewal costs are dynamic and based on the registrar's pricing for the selected TLD (top-level domain) plus a platform markup (configurable per platform, default 25%). Domain pricing is displayed in credits before purchase. Credit costs shown during domain search include any applicable markup.

11.4 Non-Refundable

Domain registration and renewal fees are non-refundable once a domain has been registered or renewed, as these transactions are irreversible at the registrar level.

11.5 Auto-Renewal

Domains are automatically renewed before their expiry date. You may disable auto-renewal for individual domains through your account settings. If auto-renewal is disabled, the domain will expire according to the registrar's expiry policies. Renewal credits are deducted from your account balance. If your balance is insufficient, the renewal will still be attempted (with a negative balance result), but continued non-payment may lead to domain loss.

11.6 Domain Health Monitoring

Sitetra performs monthly domain health checks to verify that registered domains continue to point to the Platform's infrastructure. Domains found to no longer point to the Platform will be flagged, and auto-renewal will be disabled to prevent unnecessary charges.

11.7 Orphaned Domains

If a website is suspended and its associated domain no longer points to the Platform (as determined by domain health checks), the domain may be classified as orphaned. Orphaned domains may be soft-deleted from the Platform's management after a notice period. This does not affect the domain's registration with the registrar, only its association with the Platform.

11.8 Domain Transfers

You may request to transfer a domain away from the Platform at any time. Sitetra will cooperate with the transfer process in accordance with the registrar's transfer policies. Outstanding credit balances must be settled before a transfer will be facilitated.

11.9 No Guarantee

Sitetra does not guarantee domain availability, registration success, renewal success, or uninterrupted DNS service. Domain operations are dependent on third-party registrars and DNS infrastructure.

12. Website Lifecycle, Suspension, and Termination

12.1 Website Lifecycle

Websites on the Platform progress through the following states:

  • Creation: A new website is created (0 credits). No billing begins until the website is activated.
  • Under Construction: The website is being built and configured. Not yet publicly accessible.
  • Active: The website is live and publicly accessible. Monthly billing begins.
  • Past Due: Monthly billing has failed due to insufficient credits. Warning alerts are displayed.
  • Suspended: The website has been suspended due to continued non-payment or Terms violations.

12.2 Past-Due Timeline

When a website's monthly billing fails due to insufficient credits:

  1. Day 0: Billing attempt fails. Website is marked as past due.
  2. Day 15: A warning is displayed on the website. Email notifications are sent to the account owner.
  3. Day 30: The website is suspended.

12.3 Suspension Effects

When a website is suspended:

  • All pages redirect to a locale-appropriate suspension notice.
  • Alert banners are displayed across the website.
  • Inbound email processing is disabled for the suspended website.
  • The website remains inaccessible to visitors until the account is restored.
  • Domain auto-renewal continues unless explicitly disabled.

12.4 Recovery

You may restore a suspended website by adding sufficient credits to cover the outstanding balance. Upon successful billing, the website will be reactivated: redirects removed, email processing restored, alert banners cleared, and normal operation resumed.

12.5 Termination for Cause

Sitetra may terminate your account or any website immediately, without notice, for material violations of these Terms, including but not limited to: uploading prohibited content, engaging in fraudulent activity, violating applicable laws, abusing Platform resources, or conducting illegal business operations.

12.6 Voluntary Deletion

You may delete your account or any website at any time through the Platform settings. Deletion is permanent and cannot be reversed after the data retention period.

12.7 Data Retention After Termination

Following account or website termination, Sitetra will retain your data for 90 days to allow for potential recovery or data export. After 90 days, all associated data, Content, configurations, and files will be permanently deleted. Billing and transaction records may be retained for up to 7 years as required by Canadian tax law.

13. Intellectual Property

13.1 Sitetra's Intellectual Property

The Platform, including all source code, software, algorithms, designs, user interfaces, trademarks, logos, and branding, is the exclusive property of RAPID DEV GROUP INC. and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in Sitetra's intellectual property.

13.2 User Content Ownership

As stated in Section 8, you retain ownership of your Content. Sitetra claims no ownership of Content you create or upload.

13.3 AI-Generated Content

Subject to the terms of the underlying AI providers, AI-Generated Content created at your direction through the Platform belongs to you. Sitetra does not claim ownership of AI-Generated Content produced for your use.

13.4 Stock Image Licensing

Stock images licensed through the Platform from Shutterstock are sublicensed to you under Shutterstock's standard license terms. You may use licensed stock images on your Sitetra-hosted website(s). You may not resell, redistribute, or sublicense stock images to third parties, or use them outside of the Platform without a separate license from Shutterstock.

13.5 Shared Libraries

Content contributed to shared template, style, and image libraries on the Platform may be made available to other Users within the same platform network. By contributing to shared libraries, you grant Sitetra and other Platform Users a non-exclusive, royalty-free license to use, reproduce, and adapt such content within the Platform.

13.6 No Reverse Engineering

You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Platform. You may not copy, modify, or create derivative works of the Platform or any part thereof.

14. Privacy

Your use of the Platform is governed by our Privacy Policy, available at /privacy/. Please review the Privacy Policy carefully for detailed information about how we collect, use, disclose, and protect personal information.

When Website Operators collect personal data from their End Users through the Platform, Sitetra acts as a data processor on behalf of the Website Operator (the data controller). Website Operators are responsible for ensuring their data collection and processing activities comply with all applicable privacy laws, including obtaining necessary consents from their End Users. Website Operators must maintain their own privacy policies and make them available on their websites.

15. E-Commerce and Transactions

15.1 Operator Responsibility

Website Operators who use the Platform's e-commerce features (products, SKUs, inventory management, shopping carts, orders, coupons, and checkout) are solely responsible for all aspects of their online business, including product descriptions, pricing, availability, fulfillment, shipping, returns, refunds, chargebacks, and customer service.

15.2 Payment Processing

E-commerce payments are processed through payment gateways configured by the Website Operator (Stripe, Square, or PayPal). Sitetra facilitates the connection between the Operator's website and the payment gateway but does not process, hold, or manage customer payment funds. Additional manual payment methods (Wise, wire transfer, e-Transfer, cash, check, cryptocurrency) may be offered by Operators at their discretion.

15.3 Tax Obligations

Website Operators are solely responsible for determining, collecting, and remitting all applicable taxes (sales tax, VAT, GST, HST, or other taxes). The Platform provides configurable tax settings but does not guarantee tax compliance. Operators should consult with a tax professional regarding their obligations.

15.4 Refunds and Chargebacks

Refund policies are determined by the Website Operator, not by Sitetra. Chargebacks and payment disputes are handled between the Operator, the customer, and the payment gateway. Sitetra has no role in resolving payment disputes between Operators and their customers.

15.5 No Price Verification

Product prices, discount amounts, and coupon values are set entirely by the Website Operator. Sitetra does not verify, approve, or guarantee the accuracy or fairness of any pricing displayed on Platform-hosted websites.

15.6 Shipping and Fulfillment

Shipping methods (pickup, hand delivery, delivery, or storage) are configured by the Website Operator. Sitetra does not handle physical fulfillment, shipping logistics, or delivery guarantees.

15.7 Abandoned Cart Communications

The Platform may send automated abandoned cart recovery emails on behalf of Operators. These emails are sent to customers who have provided their email address during checkout. Operators are responsible for ensuring these communications comply with applicable anti-spam laws.

16. Reservations and Bookings

16.1 Operator Responsibility

Website Operators who use the Platform's reservation and booking features (appointment scheduling, restaurant reservations, event bookings, and calendar management) are solely responsible for managing availability, capacity, scheduling policies, cancellation policies, and customer communications.

16.2 No Guarantee of Availability

Sitetra does not guarantee the accuracy of availability displayed through booking systems. Scheduling conflicts, overbooking, and related issues are the responsibility of the Website Operator.

16.3 Cancellation Policies

Cancellation, rescheduling, and no-show policies are set by the Website Operator. Sitetra does not determine or enforce reservation cancellation terms.

16.4 Payment Holds

Operators may configure pre-authorization payment holds for reservations. These holds are processed through the Operator's configured payment gateway and are subject to the gateway's hold duration limits.

16.5 Calendar Synchronization

The Platform supports CalDAV protocol for synchronizing calendars with external calendar services. Sitetra is not responsible for synchronization failures, data conflicts, or issues arising from external calendar integrations.

17. Identity Verification (KYC/AML)

17.1 Verification Services

The Platform integrates with IDenfy to provide identity verification services, including Know Your Customer (KYC), Know Your Business (KYB), Anti-Money Laundering (AML) screening, and proof of address verification. These services are optional and are enabled at the discretion of the Website Operator.

17.2 User Consent

By submitting identity documents and biometric data (such as facial images) for verification, you consent to the processing of this data by IDenfy and the storage of verification results by Sitetra. You may decline to submit to identity verification, but this may limit your ability to use certain features or services as determined by the Website Operator.

17.3 Verification Results

Verification results (approved, suspected, or other statuses) are advisory in nature. Final decisions regarding account approval, access, or restrictions based on verification results are made by the Website Operator, not by Sitetra. Sitetra is not responsible for decisions made by Operators based on verification outcomes.

17.4 Data Handling

Identity verification data, including document images and extracted personal information, is stored in accordance with our Privacy Policy. Biometric data (facial recognition) is processed by IDenfy and is not stored in raw biometric form by Sitetra. See our Privacy Policy for complete details on identity verification data practices.

18. Stock Images (Shutterstock)

18.1 Image Licensing

The Platform provides access to Shutterstock's stock image library. Each image licensed through the Platform costs credits as specified in the Service Usage Rates (Section 6). Images are licensed under Shutterstock's standard license terms.

18.2 Usage Restrictions

Licensed stock images may only be used on your Sitetra-hosted website(s). You may not resell, redistribute, sublicense, or make stock images available for download by third parties. You may not use licensed images outside of the Platform without obtaining a separate license directly from Shutterstock.

18.3 Shared Image Library

Previously licensed images are saved to a shared image library accessible across your websites. Reusing images from your shared library does not incur additional licensing fees.

18.4 AI-Selected Images

When the AI website builder selects stock images during automated website generation, these images are licensed from Shutterstock on your behalf and the applicable credit cost is deducted from your account.

19. Newsletter and Email Marketing

19.1 Operator Responsibility

Website Operators who use the Platform's newsletter and email marketing features are solely responsible for compliance with all applicable anti-spam laws, including CAN-SPAM (United States), CASL (Canada), GDPR (European Union), and any other applicable legislation.

19.2 Consent Requirements

Operators must only send marketing emails to recipients who have given valid, verifiable consent to receive such communications. The Platform provides subscriber management tools, including opt-in tracking and unsubscribe handling, but the Operator is responsible for obtaining and documenting proper consent.

19.3 Unsubscribe Mechanism

Every marketing email sent through the Platform must include a working unsubscribe mechanism. The Platform provides this functionality through its newsletter subscriber controls. Unsubscribe requests must be honored promptly in accordance with applicable law.

19.4 Prohibited Email Practices

Operators may not use the Platform's email features for: unsolicited bulk email (spam), purchased or harvested email lists, deceptive subject lines, spoofed sender addresses, or any other practices prohibited by applicable anti-spam laws. Violation may result in immediate suspension of email capabilities.

19.5 Credit Costs

Email sending is metered by credits (see Section 6). Operators should ensure sufficient credit balance before initiating newsletter campaigns.

20. API Access and Rate Limits

20.1 API Access

The Platform provides REST API and WebSocket (Socket.io) access for programmatic interaction. API access is subject to authentication (JWT tokens) and the same authorization rules that apply to the web interface.

20.2 Rate Limits

The following rate limits apply:

  • AI Processing: 20 requests per minute per authenticated user.
  • Authentication Endpoints: Configurable limits to prevent brute force attacks.
  • General API: Rate limits may be applied to prevent abuse.

When rate limits are exceeded, the Platform returns an HTTP 429 (Too Many Requests) response. You must respect rate limit responses and implement appropriate backoff logic.

20.3 Prohibited API Use

You may not use the API for: automated scraping or data harvesting, denial-of-service attacks, circumventing Platform security measures, accessing other tenants' data, or any purpose that violates these Terms.

20.4 WebSocket Connections

WebSocket connections are subject to the same authentication and authorization rules as REST API calls. Real-time data is delivered through channel-based subscriptions scoped to the authenticated user's permissions.

21. Acceptable Use and Resource Limits

21.1 Fair Use

The Platform is designed for reasonable business use. While we do not impose hard storage or bandwidth limits, Sitetra reserves the right to throttle or suspend websites that consume disproportionate resources in a manner that degrades service for other users.

21.2 No Service Level Agreement

The Platform is provided without a formal Service Level Agreement (SLA). Sitetra makes commercially reasonable efforts to maintain platform availability but does not guarantee any specific uptime percentage. See Section 25 (Disclaimer of Warranties) for details.

21.3 Prohibited Activities

In addition to the prohibited conduct listed in Section 8, the following activities are expressly prohibited:

  • Using the Platform for cryptocurrency mining or intensive computational tasks unrelated to Platform features.
  • Using the Platform as a proxy, VPN, or relay service.
  • Hosting content or operating services that are illegal in Canada or the jurisdiction where the End User is located.
  • Operating phishing websites or websites designed to deceive users.
  • Hosting malware distribution points or command-and-control infrastructure.

21.4 Resource Monitoring

Sitetra may monitor resource usage patterns to identify abuse. If excessive usage is detected, Sitetra will make reasonable efforts to contact the Website Operator before taking action, except in cases of security threats or severe impact to other users.

22. Reviews and User-Generated Content

22.1 Review System

The Platform provides review functionality that allows End Users to submit ratings, written reviews, and photos for products, services, or businesses hosted on the Platform.

22.2 Review Authenticity

Reviews must reflect the genuine experience and honest opinion of the reviewer. The following practices are prohibited:

  • Submitting fake or fabricated reviews.
  • Paying for or incentivizing reviews without clear disclosure.
  • Submitting reviews for products or services you have not used.
  • Using multiple accounts to submit multiple reviews for the same product or service.
  • Manipulating review ratings through any artificial means.

22.3 Moderation

Website Operators may configure auto-approval or manual moderation for reviews. Operators may remove reviews that violate their policies, provided they do not selectively remove negative reviews to create a misleading impression. Sitetra reserves the right to remove reviews that violate these Terms.

22.4 Review Visibility

Operators may configure review visibility (public, authenticated users only, or verified purchasers only). Review content is the responsibility of the reviewer. Neither Sitetra nor the Website Operator guarantees the accuracy of review content.

23. CRM Data and Operator Obligations

23.1 Operator as Data Controller

Website Operators who collect and manage customer data through the Platform's CRM features (contacts, relationships, accounts, communication history, orders, and related records) act as data controllers for that data. Sitetra acts as a data processor, processing this data on behalf of and under the instructions of the Operator.

23.2 Privacy Policy Requirement

Operators who collect personal data from End Users must maintain their own privacy policy that accurately describes their data collection and processing practices. The Platform provides a configurable privacy policy URL field for each website.

23.3 Legal Compliance

Operators are solely responsible for ensuring their data collection, storage, and processing activities comply with all applicable privacy laws, including PIPEDA (Canada), GDPR (EU), CCPA (California), and any other applicable legislation. This includes obtaining proper consent, honoring data subject requests, and maintaining appropriate data security measures.

23.4 Data Processing Agreement

Operators requiring a formal Data Processing Agreement (DPA) for GDPR or other regulatory compliance may request one by contacting Sitetra.

24. Beta Features and Experimental Services

Sitetra may offer features designated as "beta," "preview," "experimental," or similar designations. By using beta features, you acknowledge and agree that:

  • Beta features may be incomplete, contain bugs, or behave unexpectedly.
  • Beta features may be changed, deprecated, or permanently removed at any time without notice.
  • No warranty, SLA, or support guarantee applies to beta features.
  • Data created using beta features may not be preserved if the feature is removed.
  • Usage data and feedback from beta features may be used by Sitetra to improve the Platform.

Your use of beta features is entirely at your own risk.

25. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SITETRA SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Sitetra does not warrant that:

  • The Platform will be available at all times, uninterrupted, or error-free. No uptime SLA is provided.
  • Any Content, including AI-Generated Content, will be accurate, reliable, complete, or legally compliant.
  • Emails or SMS messages sent through the Platform will be successfully delivered.
  • Third-party integrations will function correctly or remain available.
  • Domain names will be available for registration, successfully registered, or successfully renewed.
  • Stock images will be suitable for any particular purpose or free from third-party claims.
  • Identity verification results will be accurate, complete, or suitable for any particular compliance purpose.
  • Precious metals price feeds or market data will be accurate, timely, or complete.
  • The Platform will achieve any particular search engine ranking, business result, or return on investment.
  • Data stored on the Platform will not be lost or corrupted.

26. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SITETRA AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT OF CREDITS PURCHASED BY YOU IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, CALCULATED AT THE RATE OF 1,000 CREDITS PER $1.00 USD.

IN NO EVENT SHALL SITETRA BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Lost profits, revenue, or business opportunities.
  • Lost data, Content, or configurations.
  • Business interruption or downtime.
  • Failures, outages, or changes to third-party services.
  • Consequences arising from AI-Generated Content, including inaccuracies, bias, or legal liability.
  • Domain registration issues, renewal failures, transfers, or domain losses.
  • Email or SMS deliverability issues.
  • Credit billing errors (limited to the credit amount in dispute).
  • Disputes between Website Operators and their customers or End Users.
  • Decisions made based on identity verification results.
  • Inaccurate precious metals pricing or market data.
  • Stock image licensing disputes or third-party intellectual property claims.

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF SITETRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

27. Indemnification

You agree to indemnify, defend, and hold harmless RAPID DEV GROUP INC., its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your Content or any Content uploaded, published, or distributed through your account or websites.
  • Disputes between you and your End Users, customers, or any third party.
  • Your misuse of the Platform or violation of these Terms.
  • Your violation of any applicable law, regulation, or third-party rights.
  • Any third-party claims arising from websites you operate on the Platform, including e-commerce disputes, tax liability, and customer claims.
  • Violations of anti-spam laws (CAN-SPAM, CASL, or others) resulting from your use of email marketing features.
  • Use of stock images beyond the scope of the Shutterstock license.
  • Improper use of identity verification data or decisions made based on verification results.
  • Your failure to maintain adequate privacy policies or comply with applicable privacy laws.

28. Dispute Resolution

28.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

28.2 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact Sitetra and attempt to resolve the dispute informally for a period of at least 30 days. Most disputes can be resolved without formal proceedings.

28.3 Credit Billing Disputes

Disputes regarding credit charges, deductions, or billing errors must be raised within 30 days of the transaction in question. Sitetra will investigate and resolve billing disputes within a reasonable timeframe.

28.4 Operator-Customer Disputes

Disputes between Website Operators and their customers or End Users are the sole responsibility of the Website Operator. Sitetra will not mediate, arbitrate, or otherwise participate in such disputes.

28.5 Binding Arbitration

If a dispute cannot be resolved informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration conducted in Ontario, Canada, in accordance with applicable arbitration rules. The arbitrator's decision shall be final and binding.

28.6 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Sitetra.

28.7 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Either party may also bring claims in small claims court if the claim qualifies.

29. Changes to Terms

Sitetra reserves the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes via email, platform notification, or by posting the revised Terms on the Platform with a new "Last Updated" date.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and close your account.

30. General Provisions

30.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

30.2 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Sitetra regarding the use of the Platform and supersede all prior agreements, understandings, and communications.

30.3 No Waiver

The failure of Sitetra to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any term shall not be deemed a continuing waiver of such term or any other term.

30.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Sitetra. Sitetra may assign its rights and obligations under these Terms without your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

30.5 Force Majeure

Sitetra shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, pandemic, power outages, internet disruptions, third-party service failures or outages, third-party API changes, and infrastructure failures.

30.6 Government and Law Enforcement Requests

Sitetra may disclose user data and Content as required by law, court order, subpoena, or valid legal process issued by a government authority. Where permitted by law, Sitetra will make reasonable efforts to notify affected users before disclosing their data. See our Privacy Policy for additional details.

30.7 Notices

Sitetra may provide notices to you via email, platform notifications, or by posting on the Platform. Notices to Sitetra must be sent to the contact information provided in Section 31. Notices are deemed received upon sending (for email) or posting (for platform notices).

30.8 Controlling Language

These Terms are drafted in English. In the event of any discrepancy between the English version and any translated version, the English version shall prevail.

31. Data Export

Website Operators may request a full export of their website data at any time. Data export includes:

  • All service records (products, orders, customers, contacts, pages, blog posts, articles, FAQs, and other content).
  • Uploaded files in their original formats.
  • Website configurations and settings (excluding encrypted third-party API keys).

Data exports are provided in JSON format and original file formats. Export requests are processed within 30 days of the request.

After account or website termination, data is retained for 90 days before permanent deletion. You may request a data export during this retention period.
